Legal Agent iconAI Agent

Legal Agent

Legal Agent that automates compliance workflows using your data and tools.

The challenge

Every contract is read end to end, whether or not it differs from the standard. The business waits, counsel reviews boilerplate instead of risk, deviations are caught inconsistently, and once signed the obligations and renewal dates live in a spreadsheet that somebody stopped updating.

The outcome

Azure AI Document Intelligence extracts clauses, parties and dates, Azure AI Search compares each clause against the approved playbook, and Azure OpenAI drafts redlines and fallback positions. Standard agreements fast-track to signature; deviations reach counsel with the clause and the fallback side by side.

01 — Architecture

End-to-end architecture

Contracts arrive from the business into the repository, are parsed clause by clause by Document Intelligence, and compared by the Foundry agent against the approved playbook. Deviations are scored and redlines drafted, but privileged material stays inside its permission boundary and counsel approves anything outside the playbook.

02 — Workflow

Process & decision workflow

How a contract is taken in, extracted, compared, flagged and tracked — then branched. Playbook-compliant agreements fast-track to signature, while any deviation or high-value contract goes to qualified counsel with the clause, the deviation and the fallback position side by side.

03 — Components

Key Microsoft components

Contract review is a retrieval and permissions problem as much as a drafting one — all of it stays inside the Microsoft ecosystem.

04 — AI

What the agent consumes

The capabilities the agent applies to every agreement, and the line it does not cross.

AI capabilities embedded in the agent

  • Clause extraction
  • Party and date identification
  • Playbook comparison
  • Deviation detection
  • Risk scoring
  • Retrieval-augmented generation
  • Redline drafting
  • Obligation tracking
  • Renewal and notice alerts
  • Privilege-aware retrieval
  • Matter summarisation
  • Workflow orchestration

AI responsibility boundaries

The agent reviews, compares and drafts; it does not give legal advice, approve deviations or execute contracts. Anything outside the playbook goes to qualified counsel with the clause, the deviation and the fallback position. Privileged material stays inside its permission boundary and is never used to ground an answer for someone outside it.

05 — Personalization

Personalization & evolving process

The same methodology applies to every agent in the catalog. Tune the contract portfolio, the review template, the playbook and the value model — the page structure stays identical.

Contract & jurisdiction profile

Define the contract types, jurisdictions, languages, counterparty tiers and value bands in scope. The personas are the business requester, in-house counsel, procurement and compliance.

06 — Impact

Key outcomes & business impact

Starting targets for the value case — validate each one against the customer baseline during discovery.

  • Contract turnaround−50%Standard agreements clear review without joining a queue.
  • Review hours−60%Counsel reads the deviations, not the whole agreement.
  • Obligation coverage100%Dates, owners and renewals are captured at signature.
  • Playbook traceabilityPer clauseEach flag links to the playbook rule behind it.
